Terms of Service

By accessing or using IndianSubsidiary (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). The Platform is operated by Oris Intelligence Pvt Ltd, a limited liability partnership registered in India.

If you do not agree to these Terms, you may not access or use the Platform. Your continued use of the Platform following any modifications to these Terms shall constitute acceptance of such modifications.

IndianSubsidiary provides a coordination platform for establishing and managing legal presence in India. Our services include:

• Incorporation coordination for subsidiaries, LLPs, and joint ventures
• Registration services for statutory compliances (GST, PAN, TAN, etc.)
• Employer of Record (EOR) and managed employment services
• Resident director and registered office services
• Compliance calendar and document management
• Auditor workspace and evidence request management

Information provided on this Platform is general in nature and shall not constitute legal, tax, or professional advice. Final applicability depends on your specific sector, facts, and prevailing regulations.

We coordinate with licensed professionals (chartered accountants, company secretaries, lawyers) where required by Indian law. These professionals are independent practitioners and maintain their own professional liability.

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities conducted under your account

The Platform supports multi-tenant access where users may belong to multiple client organizations. Each organization's data is isolated and protected by role-based access controls.

Organization owners shall be responsible for managing their team members' access levels and ensuring compliance with their own data governance policies.

Service fees are quoted separately for each engagement. Payment terms shall be as specified in your service agreement or invoice. All fees are non-refundable unless otherwise specified in our Refund Policy.

Government fees, statutory charges, and third-party professional fees are passed through at cost and are not included in our service fees unless explicitly stated.

The Platform, including its design, features, and content, is owned by Oris Intelligence Pvt Ltd. You may not copy, modify, distribute, or reverse engineer any part of the Platform without prior written permission.

Documents and data you upload shall remain your property. You grant Oris Intelligence Pvt Ltd a limited, non-exclusive license to process and store this data solely for the purpose of service delivery.

The total aggregate liability of Oris Intelligence Pvt Ltd shall not exceed the fees paid by you in the twelve (12) months immediately preceding the event giving rise to such claim.

You agree to indemnify, defend, and hold harmless Oris Intelligence Pvt Ltd, its partners, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Platform or any violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Oris Intelligence Pvt Ltd reserves the right to update these Terms from time to time. We shall notify you of material changes via email or Platform notification. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
